Term Sheet
General Understanding of Rights Agreement
Appointment.
The undersigned is appointed as a Frontier Networks Inc. Sales Agent (“AGENT”) to market and sell the following services:
- Internet Services and Broadband
- Colocation
- Frontier VoIP
- IP and Physical Security
- In-Store Music
This agreement is between you the undersigned (“AGENT”) and Frontier Networks Inc. (“FRONTIER”) and is subject to the following terms and conditions.
Product Family Overview
- Broadband & Internet Services
FRONTIER delivers fully managed connectivity solutions including Fibre, Cable, DSL, and LTE/5G failover. These solutions are supported by national coverage, guaranteed uptime, and custom options for retail, enterprise, and industrial customers.
- Voice (VoIP) Services
FRONTIER provides SIP Trunks, Hosted PBX, and custom VoIP solutions for businesses. These services are scalable and designed for seamless integration with existing systems or cloud-based environments.
- Colocation
Secure, climate-controlled Tier III data center colocation is available for businesses needing rack space with redundant power, network access, and remote hands support.
- IP and Physical Security
Commercial security solutions include Commercial IP Camera Solutions and Commercial Resideo Alarm systems, alarm monitoring, smart sensors, door access control, and intrusion detection—nationally supported and ideal for retail, commercial, and industrial clients.
- IoT / LTE / Wireless
Designed for remote or mobile environments, these services include primary and backup LTE connectivity, smart sensors, and support for mobile assets and remote locations.
Terms and Conditions
Term.
The term of this Sales Agency Agreement is Three (3) Years, with an automatic renewal for an additional Three (3) Years at the end of the term.
Confidentiality.
AGENT shall keep all correspondence, internal quotes, and configuration tools confidential and shall not disclose them to any third party.
Payment Expectation.
Sales Fees shall be paid upon full receipt of payment by Frontier from the customer and will be paid quarterly in arrears. Compensation will be based on the actual amounts indicated in the SERVICE AGREEMENT, which is the official quote provided to the CUSTOMER by FRONTIER. The SERVICE AGREEMENT will serve as the binding document outlining the case-by-case payment due to the AGENT. The applicable revenue tiers and commission rates are detailed in Schedule 1 – Compensation.
Compensation Schedule.
Outlined below in Schedule 1.
Renewals.
Renewals will be governed by the applicable Schedule 1, provided the AGENT books the renewal transaction.
Chargebacks.
FRONTIER reserves the right to adjust the compensation outlined in Schedule 1 if the AGENT’s customer cancels service for any reason.
Exclusions.
No Sales Fee is payable on one-time installation charges or FRONTIER-provided Customer Premise Equipment (CPE) unless specifically noted.
Territory.
AGENT may sell services in any region where FRONTIER offers service.
Non-Exclusive.
This agreement is non-exclusive. The AGENT is considered an independent contractor and not an employee of FRONTIER.
Quote Support.
AGENT is responsible for quote accuracy and must coordinate with a designated Frontier representative for final proposals and pricing.
Exclusions from Agent Compensation
The following categories of revenue and billing will be excluded from AGENT compensation under this agreement. These exclusions are non-commissionable and are not eligible for Sales Fee payments:
– Taxes (Federal, Provincial, Municipal, or Regulatory)
– Late Payment Charges
– One-Time Charges (e.g., Move, Add, Change (MAC) fees)
– Variable Hydro Charges related to Colocation services
– Third-Party Cross-Connection Fees
– Variable Billing including, but not limited to, Toll-Free and Long-Distance charges
– Variable Usage and Over-Usage Fees, including additional bandwidth or capacity billing
These exclusions are applicable regardless of their inclusion in the SERVICE AGREEMENT or on customer invoices and will not be considered when calculating agent compensation.
Modifications to Agreement
FRONTIER retains the right to make modifications to this Agreement from time to time. Any such modifications will be communicated in writing to the AGENT and will become effective upon notice, unless otherwise specified. It is the responsibility of the AGENT to review and understand any updates or changes provided by FRONTIER.
