Restriction on Use of Services required by Frontier Networks

Section 1:

Frontier Networks Inc., Frontier Networks Corp. (hereafter referred to as FRONTIER) recognizes that from time to time, it will purchase Data, Broadband, and Private Line Circuits (hereafter referred to as SERVICES) for its own use.

Section 2:

FRONTIER understands the distinction between REBILL, RESALE, and the purchase of SERVICES for internal use:

  • REBILL refers to a SERVICE purchased for the exclusive use of a CUSTOMER (not FRONTIER). This implies that the service is acquired, and the cost is often billed back, wholly or partly, with or without additional fees.
  • RESALE refers to a SERVICE purchased for the exclusive use of a CUSTOMER (not FRONTIER) where FRONTIER acts as the RESELLER or PROVIDER of SERVICES. This implies that the SERVICE is acquired, with costs to the end customer typically including additional fees.

Section 3:

FRONTIER can demonstrate internal use at the written request of the Vendor Supplier PROVIDER and will respond within 30 business days with an ATTESTATION. Scenarios for internal use may include:

  1. Monitoring by FRONTIER for non-RESALE or REBILL purposes.
  2. Internal communications.
  3. Use of cloud-based services for storage and file sharing.
  4. Online collaboration tools.
  5. Access to internal databases and software applications over the internet.
  6. Security access to a PRODUCT or DEVICE at a FRONTIER location where entitlement is granted.
  7. Other monitoring activities, detailed as required.

Section 4:

In the event of a dispute, after receipt of FRONTIER’S ATTESTATION, the PROVIDER may request that FRONTIER discontinue use of the services. Such requests will be considered with options to:

  1. Allow FRONTIER to continue using the PROVIDER Services until the end of the contracted term.
  2. Permit FRONTIER to recover any expenses paid above the listed one-time charges for any PROVIDER SERVICES if cancelled before the end of the agreement.
  3. Provide FRONTIER adequate time to seek viable alternatives, including time required to install, test, and accept replacement services.

Failure to reach a resolution may result in FRONTIER seeking remedies available both through REGULATORS and under Common Law in the jurisdiction of Ontario, Canada.
